INTERPRETATION AND DEFINITIONS
Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Definitions
For the purposes of these Terms and Conditions:
• Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
• Account means a unique account created for You to access our Service or parts of our Service.
• Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Africa System and Standard Training Academy Limited.
• Content refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by the Company or You, regardless of the form of that content,
• Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
• Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.
• Promotions refer to contests, sweepstakes or other promotions offered through the Service.
• Service refers to the Website and/or Application of Africademia.africa
• Order means a request by You to purchase Products from us
• Products refer to the courses and other ancillary products or items that are offered for sale on the Service.
• Terms and Conditions (also referred as "Terms" or "Terms of Use") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
• Third-party Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
• Website refers to Africademia.africa accessible from www.africademia.africa

• You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

ACKNOWLEDGMENT
These are the Terms and Conditions that govern the use of this Service and the Agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Services. By accessing or using the Service, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service. You herein represent that You are over the age of 18, which is Nigeria’s legal adult age. Where You are a Minor who is below the legal adult age, and You wish to use our Services, You must accept the terms and conditions of use on our Services under the authorization, permission and supervision of a guardian. Your access to and use of the Service is also conditioned on your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes our policies and procedures on the collection, use and disclosure of your personal information when you use the Application of the website and tells you about the Privacy rights and how the law protects you. You are required to use and accept put Privacy Policy before using our Services.
Africademia offers products and services provided by Africa System and Standard Training Academy Limited, a limited liability company incorporated in Nigeria. These Terms of Use ("Terms") govern your use of our website, apps, and other products and services ("Services"). As some of our Services and Content may be software, which is downloaded to your computer, phone, tablet, or other device, you agree that we may automatically update this software, and that these Terms will continue to apply to such updates. Please read these Terms carefully, and contact us if you have any questions, requests for information, or complaints. By clicking “I accept” (or for those who have not yet created an account, by using our Services), you agree to be bound by these Terms, including the policies referenced in these Terms.
You acknowledge and agree that the disclaimers and the limitations of liability set forth in this terms of use reflect a reasonable and fair allocation of risk between you and the Africademia parties, and that these limitations are an essential basis to Africademia's ability to make the services available to you on an economically feasible basis.
LEGAL DISCLAIMER
These terms include an arbitration agreement and class action waiver that apply to all claims brought against Africademia. Please read them carefully; they affect your legal rights. The terms of the arbitration agreement and class action waiver shall not apply if unenforceable under the laws of the country in which you reside. At all times the country and venue of Arbitration shall be the resident country and state of the company. You understand that we offer third party educational courses and lessons with legally acquired or created course content ("Products"), which are offered for sale or free, through our Services. You acknowledge that We are not responsible for the views, procedures and techniques of third party course creators, except those course content as are Africademia original creations. You acknowledge that We do not endorse any specific instructor. Course Creator, or any Product as being better than another. We do not otherwise guarantee the accuracy or applicability of any Product for your needs. You will at all times see to it that you select Products that satisfy your learning needs based on your sole preference and informed judgment.
You understand that it is your responsibility to ensure that the privacy policy or any other policies You create with us is complete, accurate, and meets your specific privacy needs. Africademia.africa is not liable or responsible for any privacy policies or any other policies created using our services which are not our stated as provided here, and we give no representations or warranties, express or implied, that the privacy policies or any other policies created using our service are complete, accurate or free from errors or omissions.
To the maximum extent permitted by law, the services and all included content are provided on an "as is" basis without warranty of any kind, whether express or implied. The Africademia parties specifically disclaim any and all warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising out of course of dealing or usage of trade. The Africademia parties further disclaim any and all liability related to your access or use of the services or any related content. You acknowledge and agree that any access to or use of the services or such content is at your own risk.
"As Is" and "As Available" Disclaimer
The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.
Without limiting the foregoing, neither the Company nor any of the company's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.
USING Africademia
Who May Use our Services?
You may use our Services only if you can and agree to form a binding contract with Africademia, and only in compliance with these Terms and all applicable laws. When you create your Africademia account, and subsequently when you use certain features, you must provide us with accurate and complete information, and you agree to update your information to keep it, at all times accurate and complete with us. Any use or access by anyone under the age of 16 is prohibited, and certain regions and Content Offerings may have additional requirements and/or restrictions. Conversely any use by anyone under the age of 18, but not under the age of 16 must be authorized and supervised by a guardian.
Our License to You
Subject to these Terms and our policies (including the Acceptable Use Policy, Honor Code, course-specific eligibility requirements, and other terms and conditions), we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to use our Services for as long as your account remains active with us, subject to such period, for which paid courses are available for. You may download content from our Services only for your personal, non-commercial use, unless you obtain our written permission to otherwise use the content. You also agree that you will create, access, and/or use only one user account, unless expressly permitted by Africademia, and you will not share access to your account or access information for your account with any third party. Using our Services does not give you ownership of or any intellectual property rights in our Services or such content that you access.
CONTENT OFFERINGS
Changes to Content Offerings
Africademia offers courses and content ("Content Offerings") from Instructors, Course Creators, Africademia original production studios and other providers ("Content Providers"). While we seek to provide world-class Content Offerings from our Content Providers, unexpected events do occur. Africademia reserves the right to cancel, interrupt, reschedule, or modify any Content Offerings, or change the point value or weight of any assignment, quiz, or other assessment, either solely, or in accordance with Content Provider instructions. Content Offerings are subject to the Disclaimers and Limitation of Liability sections below.
No Academic Credit
Africademia does not grant academic credit for the completion of Content Offerings. Unless otherwise explicitly indicated by a credit-granting institution, which is a content provider, participation in or completion of Content Offerings does not confer any academic credit. Even where one institution awards credit, there is no presumption that other institutions will accept that credit. You agree not to accept credit for completing a Content Offering unless you have earned a course certificate or other equivalent documentation of your completion of the Content Offering. Africademia, instructors, and the associated Content Providers have no obligation to have Content Offerings recognized by any educational institution or accreditation organization.
YOUR CONTENT
User Content
The Services enable You to share your content, such as homework, quizzes, exams, projects, other assignments you submit, posts you make in the forums, and the like ("User Content"), with Africademia instructors, and/or other users. You retain all intellectual property rights in, and are responsible for, the User Content you create and share. User Content does not include course content or other materials made available on or placed on to the Africademia platform by or on behalf of Content Providers or their instructors using the Services or Content Offerings. As between Africademia and Content Providers, such Content Offerings are governed by the relevant agreements in place between Africademia and Content Providers.
How Africademia and Others May Use User Content
To the extent that you provide User Content, you grant Africademia a fully-transferable, royalty-free, perpetual, sub-licensable, non-exclusive, worldwide license to copy, distribute, modify, create derivative works based on, publicly perform, publicly display, and otherwise use such User Content. This license includes granting Africademia the right to authorize Content Providers to use User Content with their registered students, on-campus learners, or other learners independent of the Services. Nothing in these Terms shall restrict other legal rights Africademia may have to User Content, for example under other licenses. We reserve the right to remove or modify User Content for any reason, including User Content that we believe violates these Terms or other policies.
Content Restrictions
The Company is not responsible for the content of the Service's users. You expressly understand and agree that You are solely responsible for the Content and for all activity that occurs under your account, whether done so by You or any third person using Your account.
You may not transmit any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene or otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:
Unlawful or promoting unlawful activity.
Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.
Spam, machine – or randomly – generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.
Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.
Impersonating any person or entity including the Company and its employees or representatives.
Violating the privacy of any third person.
False information and features.
The Company reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any Content is appropriate and complies with this Terms, refuse or remove this Content. The Company further reserves the right to make formatting and edits and change the manner any Content. The Company can also limit or revoke the use of the Service if You post such objectionable Content. As the Company cannot control all content posted by users and/or third parties on the Service, you agree to use the Service at your own risk. You understand that by using the Service You may be exposed to content that You may find offensive, indecent, incorrect or objectionable, and You agree that under no circumstances will the Company be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of your use of any content.
Content Backups
Although regular backups of Content are performed, the Company does not guarantee there will be no loss or corruption of data. Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted prior to being backed up or that changes during the time a backup is performed. The Company will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Content. But You acknowledge that the Company has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state. You agree to maintain a complete and accurate copy of any Content in a location independent of the Service.
FEEDBACK
We welcome your suggestions, ideas, comments, and other feedback regarding the Services ("Feedback"). By submitting any Feedback, you grant us the right to use the Feedback without any restriction or any compensation to you. By accepting your Feedback, Africademia does not waive any rights to use similar or related Feedback previously known to Africademia, developed by our employees, contractors, or obtained from other sources.
SECURITY
We care about the security of our users. While we work to protect the security of your account and related information, Africademia cannot guarantee that unauthorized third parties will not be able to defeat our security measures. Please notify us immediately of any compromise or unauthorized use of your account by emailing -----or submitting via support @Africademia.africa.
THIRD PARTY CONTENT
Through the Services, you will have the ability to access and/or use content provided by instructors, other users, and/or other third parties and links to websites and services maintained by third parties. Africademia cannot guarantee that such third party content, in the Services or elsewhere, will be free of material you may find objectionable or otherwise inappropriate or of malware or other contaminants that may harm your computer, mobile device, or any files therein. Africademia disclaims any responsibility or liability related to your access or use of, or inability to access or use, such third party content.
Links to Other Websites
Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services. We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.
COPYRIGHT AND TRADEMARK
Africademia respects the intellectual property rights of our users, Content Providers, and other third parties and expects our users to do the same when using the Services. We have adopted and implemented the Africademia Copyright and Trademark Policy below in accordance with applicable law, including the Nigerian Copyright Act.
EDUCATIONAL RESEARCH
Africademia is committed to advancing the science of learning and teaching, and records of your participation in courses may be used for educational research. In the interest of this research, you may be exposed to variations in the Content Offerings. Research findings will typically be reported at the aggregate level. Your personal identity will not be publicly disclosed in any research findings without your express consent.
MODIFYING OR TERMINATING OUR SERVICES
We are constantly changing and improving our Services. We may add or remove functions, features, or requirements, and we may suspend (to the extent allowed by applicable law) or stop part of our Services altogether. Accordingly, Africademia may terminate your use of any Service for any reason. If your use of a paid Service is terminated, a refund may be available under our Refund Policy. We may not be able to deliver the Services to certain regions or countries for various reasons, including due to applicable export control requirements or internet access limitations and restrictions from governments. None of Africademia, its Content Providers and instructors, its contributors, sponsors, and other business partners, and their employees, contractors, and other agents (the " Africademia Parties") shall have any liability to you for any such action. You can stop using our Services at any time, although we'll be sorry to see you go.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, the Africademia parties shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any party other than the applicable Africademia party, including without limitation, any defamatory, offensive, or illegal conduct; or (c) unauthorized access, use, or alteration of your content or information. In no event shall Africademia's aggregate liability for all claims related to the services exceed the total amount of fees received by Africademia from you for the use of paid services during the past six months.
You agree that any cause of action related to the services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
EXPORT CONTROLS
You warrant that you are not located in, or ordinarily reside in, any country that is subject to applicable laws and regulations which prevent the company from providing you access to the Services. Your location is determined by your physical location. Use of a virtual private network service, IP routing services, or other similar service for the purpose of circumventing these laws is strictly prohibited.
You warrant that you are not named on any government prohibited, denied, unverified-party, sanctions, debarment, or exclusion list or export-controlled related restricted party list (collectively, “Sanctions Lists”). You will immediately discontinue your use of the Services if you are placed on any Sanctions List. You also warrant that you will not export, re-export, or transfer the Services to an entity on any Sanctions List or otherwise use the services in a manner that would be in violation of applicable laws. Notwithstanding anything to the contrary in these Terms, Africademia and the Company may terminate any further obligations to you, effectively immediately if you are in breach of the obligations in this section.
GENERAL TERMS
Revisions to the Terms
We reserve the right to revise the Terms at our sole discretion at any time. Any revisions to the Terms will be effective immediately upon posting by us. For any material changes to the Terms, we will take reasonable steps to notify you of such changes, via a banner on the website, email notification, another method, or combination of methods. In all cases, your continued use of the Services after publication of such changes, with or without notification, constitutes binding acceptance of the revised Terms.
Severability; Waiver
If it turns out that a particular provision of these Terms is not enforceable, this will not affect any other terms. If you do not comply with these Terms, and we do not take immediate action, this does not indicate that we relinquish any rights that we may have (such as taking action in the future).
Content Providers
Our Content Providers and integrated service providers are third party beneficiaries of the Terms and may enforce those provisions of the Terms that relate to them.
Termination
We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions. Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service.
Intellectual Property
The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors. Copyright, trademark, and other laws of Nigeria and foreign countries protect the Service. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.
Placing Orders for Products
By placing an Order for Products through the Service, You warrant that You are legally capable of entering into binding contracts.
Your Information
If You wish to place an Order for Courses available on the Service, You may be asked to supply certain information relevant to Your Order including, without limitation, Your name, Your email, Your phone number, Your credit card number, the expiration date of Your credit card, Your billing address, and Your shipping information. You represent and warrant that: (i) You have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any Order; and that (ii) the information You supply to us is true, correct and complete. By submitting such information, You grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of Your Order.

We are constantly updating our offerings of Products on the Service. The Products available on Our Service may be mispriced, described inaccurately, or unavailable, and We may experience delays in updating information regarding our Products on the Service and in Our advertising on other websites.
We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.
Payments
Payment can be made through various payment methods we have available, such as Visa, MasterCard, or online payment methods (PayPal, for example) and any other payment method as may from time to time be updated to our services for ease of delivering this service to you. Payment cards (credit cards or debit cards) are subject to validation checks and authorization by Your card issuer. If we do not receive the required authorization, We will not be liable for any delay or non-delivery of Your Order.

Any Promotions made available through the Service may be governed by rules that are separate from these Terms. If You participate in any Promotions, please review the applicable rules as well as our Privacy policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.
User Accounts
When You create an account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Service. You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password, whether Your password is with Our Service or a Third-Party Service.
You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
BINDING ARBITRATION AND CLASS ACTION WAIVER
You and Africademia agree to submit to binding arbitration any and all disputes, claims, or controversies of any kind, whether based on statute, regulation, constitution, common law, equity, or any other legal basis or theory, and whether pre-existing, present, or future, that arise out of or relate to our Services, these Terms, and/or any other relationship or dispute between you and us, including without limitation (i) the scope, applicability, or enforceability of these Terms and/or this arbitration provision, and (ii) relationships with third parties who are not parties to these Terms or this arbitration provision to the fullest extent permitted by applicable law (each a “Claim,” and collectively the “Claims”).
Any and all Claims shall be submitted for binding arbitration in accordance with the Arbitration and Conciliator’s Act of Nigeria, in effect at the time arbitration is initiated. We will pay the costs of the arbitration proceeding, including the arbitrator’s fees; however, other fees, such as legal and attorney’s fees and expenses of travel to the arbitration, shall be borne by both parties, respectively. We will pay all costs associated with any arbitration that we commence. A single, neutral arbitrator selected.
The arbitrator shall be an active member in good standing of the bar and shall be either actively engaged in the practice of law for at least five years or a retired judge. The arbitrator shall honor claims of privilege recognized at law. Unless inconsistent with applicable law, and except as otherwise provided herein, each party shall bear the expense of its respective attorney, expert, and witness fees, regardless of which party prevails in the arbitration. Any arbitration proceedings shall be conducted at a Multi-door Court house or a designated place for arbitration, and you will be given the opportunity to attend the proceeding and be heard. The arbitrator’s decision will be final and binding upon the parties and may be enforced in any federal or state court that has jurisdiction.
You and our Company agree that the arbitration shall be kept confidential and that the existence of the proceeding and any element of it (including, without limitation, any pleadings, briefs or other documents submitted or exchanged and any testimony or other oral submissions and awards) will not be disclosed beyond the arbitration proceedings, except as may lawfully be required in judicial proceedings relating to the arbitration or by applicable disclosure rules and regulations of governmental agencies.
Neither you nor Africademia may act as a class representative, nor participate as a member of a class of claimants, with respect to any Claim. The Claims may not be arbitrated on a class or representative basis. The arbitrator can decide only your and/or the Company’s individual Claims. The arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated.
This arbitration agreement does not preclude you or us from seeking action by federal, state, or local government agencies. You and we also have the right to exercise self-help remedies, such as set-off, or to bring qualifying claims in small claims court so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis. In addition, you and we retain the right to apply to any court of competent jurisdiction for provisional or ancillary relief, including pre-arbitral attachments or preliminary injunctions, and any such request shall not be deemed incompatible with any of these Terms, nor a waiver of the right to have disputes submitted to arbitration as provided in this provision.
A court may sever any portion of this Binding Arbitration and Class Action Waiver Section that it finds to be unenforceable, except for the prohibitions on any Claim being handled on a class or representative basis, and the remaining portions of this arbitration provision will remain valid and enforceable. No waiver of any provision of this Section will be effective or enforceable unless recorded in a writing signed by the party waiving such a right or requirement. Such a waiver shall not waive or affect any other portion of these Terms.
This binding arbitration and class action waiver section limits certain rights, including the right to maintain a court action, the right to participate in any form of class or representative claim, and the right to engage in discovery except as provided in the arbitrators and conciliators act. Other rights that you or Africademia would have in court also may not be available in arbitration.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the Africademia Parties from any and all claims, liabilities, expenses, and damages (to the extent attributable to you under the applicable law), including reasonable attorneys' fees and costs, made by any third party related to: (a) your use or attempted use of the Services in violation of these Terms; (b) your violation of any law or rights of any third party; or (c) User Content, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights.
GOVERNING LAW AND VENUE
Except as provided below, the Services are managed by Africa System and Standard Training Academy Limited which is located in Federal Capital Territory, Abuja, Nigeria. You agree that the laws of the Federation of Nigeria and the Laws of the Federal Capital Territory, excluding its conflicts of law provisions, will govern these Terms. In the event that any dispute related to these Terms is not subject to binding arbitration, You and Africa System and Standard Training Academy Limited will submit to the personal jurisdiction of and exclusive venue in a competent court of record, as the legal forum for any such dispute. Provided that such dispute has first been subjected to binding arbitration in the Multi-door Courts of Abuja, Nigeria.
To the extent you are located in the European Union or the United Kingdom, the Services are managed by Africa System and Standard Training Academy Limited and You agree that these Terms will be governed by the laws of the United Kingdom, excluding its conflicts of law provisions.

This section shall not deprive you of any mandatory consumer protections under the law of the country to which we direct Services to you, where you have your habitual residence.
